IMPORTANT: Harasoft provides ONLY technical services. Harasoft is NOT the platform operator or content owner.

1.1 Binding Agreement

These Terms constitute a legally binding agreement between you and the Company. If you do not agree to any part of these Terms, you must immediately cease all use of the Platform.

1.2 Right to Modify

We reserve the right to modify, amend, update, or replace these Terms at any time without prior notice. Modified Terms will be effective immediately upon posting. Your continued use of the Platform after such modifications constitutes your acceptance of the modified Terms.

1.3 Age Requirement

You must be at least 18 years old to use this Platform.

2.1 Types of Data Collected

We collect extensive data to provide, improve, and personalize our services, including:

• Personal Information: Name, email, phone, date of birth, profile photos, login credentials.
• Behavioral Data: Pages visited, search queries, click patterns, time spent, navigation paths.
• Device Information: Device type, OS, browser, screen resolution, device identifiers.
• Location Data: IP address, GPS coordinates (if permitted), inferred location.
• Technical Data: Cookies, log files, server logs, error reports, performance metrics.

2.2 How We Use Your Data

By using the Platform, you grant us broad rights to use your data for: providing and improving services, data analytics, developing AI/ML models, sending communications, preventing fraud, and any other legitimate business purposes.

2.3 AI Training Rights

By using this Platform, you explicitly consent to the use of all collected data to train, develop, improve, and commercialize our proprietary AI models and ML algorithms.

2.4 Data Retention

We retain your data for as long as necessary to fulfill the purposes outlined in these Terms, plus any additional period required by law. Certain data may be retained indefinitely after account deletion.

This is a core protective provision. Violations will be prosecuted to the fullest extent of the law.

3.1 Prohibited Activities

• Automated Access: Using bots, crawlers, scrapers, or any automated tools to access or extract content.
• Third-Party AI Training: Using any Platform content to train third-party AI/ML models or LLMs.
• Data Harvesting: Systematically collecting or compiling Platform data.
• Circumvention: Bypassing security measures, rate limiting, or robots.txt directives.
• Reverse Engineering: Decompiling or attempting to derive source code or algorithms.

3.2 Enforcement

Violations will result in immediate IP blocking, account termination, and legal action including civil and criminal prosecution.

4.1 Platform IP Rights

All content on the Platform is owned by or licensed to the Company and protected by intellectual property laws.

4.2 User-Generated Content License

When you submit any content on the Platform, you grant the Company a perpetual, irrevocable, worldwide, royalty-free, transferable, sublicensable license to use, reproduce, distribute, modify, display, perform, and commercialize the content, including for AI/ML training purposes.

This license survives termination of your account.

4.3 Content Moderation

We reserve the right to monitor, review, edit, or remove any user content at any time without notice.

5.1 Service Providers

We may share your data with third-party service providers including cloud hosting, analytics platforms, payment processors, marketing partners, and security services.

5.2 Legal Disclosure

We may disclose your data when required by law, to enforce these Terms, or to protect rights, property, or safety.

5.3 Business Transactions

In the event of a merger, acquisition, or sale of assets, your data may be transferred to the successor entity.

5.4 Third-Party Links

The Platform may contain links to third-party websites. We are not responsible for their privacy practices or content.

We use cookies, web beacons, pixels, and other tracking technologies to recognize your device, remember preferences, analyze behavior, deliver personalized content, and measure marketing effectiveness.

Third-party analytics services (such as Google Analytics) may set their own cookies. You can manage cookies through your browser settings, though this may limit functionality.

7.1 Platform Provided "AS IS"

THE PLATFORM AND ALL CONTENT ARE PROVIDED "AS IS" WITHOUT ANY WARRANTIES, EXPRESS OR IMPLIED.

7.2 Information Accuracy

ConcertOnly is an information aggregation platform, NOT the event organizer. We do not guarantee accuracy of event information. Always verify with official organizers.

7.3 Exclusion of Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE COMPANY SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES.

7.4 Limitation of Total Liability

Total liability shall not exceed: (A) amounts you paid in the preceding 12 months, or (B) USD $100, whichever is greater.

7.5 Harasoft Complete Exemption

Harasoft is SOLELY a technical service provider. Harasoft shall be COMPLETELY EXEMPT from any liability related to Platform operations, content, or use, regardless of whether the Platform generates profit or loss.

8.1 User Responsibilities

You agree to provide accurate information, maintain account security, accept responsibility for all account activities, and comply with all applicable laws.

8.2 Prohibited Conduct

• Posting false, misleading, defamatory, or illegal content
• Harassing, threatening, or harming other users
• Uploading viruses or harmful code
• Interfering with Platform functionality
• Attempting unauthorized access

8.3 Account Termination

We may suspend or terminate your account at any time for any reason, with or without notice.

9.1 Security Measures

We implement industry-standard security measures including encryption, firewalls, and access controls. However, no system is completely secure.

9.2 Your Rights

Depending on your location, you may have rights to access, correct, or request deletion of your data. Contact us to exercise these rights.

All intellectual property rights in the Platform are owned by or licensed to the Company. "ConcertOnly" and related logos are trademarks of the Company. If you believe your copyrighted work has been infringed, please send a DMCA notice to our designated agent.

You agree to indemnify and hold harmless the Platform Operator and its affiliates from any claims arising from your use of the Platform, your violation of these Terms, or your content.

11.1 Special Indemnification for Harasoft

You SPECIFICALLY agree to indemnify and hold completely harmless Harasoft from ANY AND ALL claims, damages, losses, and expenses arising from or related to Platform use or operations. You waive any right to sue Harasoft related to Platform operations.

THIS IS A CRITICAL PROVISION.

A. Role Definition

Harasoft is exclusively a third-party technical service provider. Harasoft does NOT operate, manage, or control the Platform, make business decisions, control content, or participate in revenue.

B. Complete Exemption from Liability

Regardless of legal theory or claim type, Harasoft SHALL BE COMPLETELY EXEMPT from any liability related to: operations, content, financial matters, legal compliance, data issues, user disputes, IP claims, or any damages.

C. Profit-Independent Immunity

This immunity applies regardless of whether the Platform generates profit or loss.

D. Exclusive Liability of Platform Operator

ALL liability rests exclusively with the platform operator. Any claims must be pursued exclusively against the platform operator, not Harasoft.

E. Severability

Even if any other provision is found invalid, the Harasoft immunity provisions remain in full force.

These Terms are governed by the laws of the Republic of China (Taiwan). Disputes are subject to the exclusive jurisdiction of the Taipei District Court. In case of conflict between English and Chinese versions, the Chinese version shall prevail.

We reserve the right to modify these Terms at any time. If any provision is found invalid, the remaining provisions remain in full force. These Terms constitute the entire agreement between you and the Company regarding the Platform. You may not assign these Terms without our consent.

15.1 Account Deletion

Contact us to request account and data deletion. Certain data may be retained for legal, regulatory, or business reasons even after deletion.

使用本平台即授予我們廣泛的權利，可將您的資料用於：提供及改善服務、數據分析、開發 AI/ML 模型、發送通訊、防止詐欺，及任何其他合法商業目的。

2.3 AI 訓練權利

使用本平台即表示您明確同意，可使用所有收集的資料來訓練、開發、改進及商業化我們專有的 AI 模型及 ML 演算法。

2.4 資料保留

我們會保留您的資料直到達成本條款所述目的。即使帳號刪除後，某些資料可能仍會被無限期保留。

此為核心保護條款。違反者將被依法追訴。

3.1 禁止行為

• 自動化存取：使用機器人、爬蟲程式或任何自動化工具存取或擷取內容。
• 第三方 AI 訓練：使用平台內容訓練第三方 AI/ML 模型或大型語言模型。
• 資料收割：系統性地收集或編譯平台資料。
• 規避措施：繞過安全措施、速率限制或 robots.txt 指令。
• 逆向工程：反編譯或試圖衍生原始碼或演算法。

3.2 執法

違規將導致立即 IP 封鎖、帳號終止，以及包括民事和刑事訴訟在內的法律行動。

4.1 平台內容所有權

平台上的所有內容均由本公司擁有或授權，並受智慧財產權法保護。

4.2 使用者生成內容授權

當您在平台上提交任何內容時，即授予本公司永久、不可撤銷、全球性、免版稅、可轉讓、可再授權的授權，可使用、重製、散布、修改、展示、表演及商業化該內容，包括用於 AI/ML 訓練。

此授權在帳號終止後仍然有效。

4.3 內容審核

我們保留隨時以任何理由監控、審查、編輯或移除任何使用者內容的權利。

5.1 服務提供者

我們可能與第三方服務提供者分享您的資料，包括雲端託管、分析平台、支付處理商、行銷夥伴及安全服務。

5.2 法律揭露

在法律要求、執行條款或保護權利時，我們可能揭露您的資料。

5.3 商業交易

在合併、收購或資產出售時，您的資料可能被轉讓。

我們使用 cookies、網站信標、像素及其他追蹤技術來識別裝置、記住偏好、分析行為、提供個人化內容及衡量行銷效果。第三方分析服務（如 Google Analytics）可能設定自己的 cookies。您可透過瀏覽器設定管理 cookies，但可能影響功能。

7.1 按現狀提供

平台及所有內容均以「按現狀」提供，不提供任何明示或暗示的保證。

ConcertOnly 是資訊彙整平台，非活動主辦方。我們不保證活動資訊的準確性。購票前請向主辦方確認。

7.3 損害賠償排除

在法律允許的最大範圍內，本公司對任何直接、間接、附帶、衍生性、特殊或懲罰性損害不負責任。

7.4 總責任限制

總責任不超過：（A）前12個月您向我們支付的金額，或（B）新台幣三千元，以較高者為準。

7.5 宏傑資訊完全免責

宏傑資訊僅為技術服務提供者，對平台營運、內容或使用相關之任何責任完全免責，無論平台是否產生利潤或虧損。

8.1 使用者責任

您同意提供準確資訊、維護帳號安全、對帳號活動負責，並遵守所有法律。

8.2 禁止行為

• 發布虛假、誤導、誹謗或非法內容
• 騷擾、威脅或傷害其他使用者
• 上傳病毒或有害程式碼
• 干擾平台運作
• 試圖未經授權存取

8.3 帳號終止

我們保留隨時暫停或終止您帳號的權利，無需通知。

9.1 安全措施

我們實施業界標準安全措施，包括加密、防火牆及存取控制。但沒有系統是完全安全的。

9.2 您的權利

根據您所在地區，您可能有權存取、更正或要求刪除個人資料。請聯繫我們行使這些權利。

平台的所有智慧財產權均由本公司擁有或授權。「ConcertOnly」及相關標誌為本公司商標。若您認為著作權遭侵權，請向我們指定代理人發送 DMCA 通知。

您同意賠償並使平台營運者及其關聯企業免於因您使用平台、違反條款或您的內容所產生的任何索賠。

11.1 宏傑資訊特別賠償保證

您特別同意賠償並使宏傑資訊完全免於承擔因平台使用或營運產生的任何索賠、損害、損失及費用。您放棄對宏傑資訊提出平台營運相關訴訟的權利。

此為所有使用者必須閱讀並理解的關鍵條款。

A. 角色定義

宏傑資訊專屬為第三方技術服務提供者。不營運、管理或控制平台，不做商業決策，不控制內容，不參與營收。

B. 完全免責

無論法律理論或索賠類型，宏傑資訊對以下事項完全免責：營運、內容、財務、法規遵循、資料問題、使用者爭議、智財索賠、任何損害。

C. 不受利潤影響

此免責適用，無論平台是否產生利潤或虧損。

D. 平台營運者的專屬責任

所有責任專屬由平台營運者承擔。任何索賠必須專屬向平台營運者提出。

E. 可分割性

即使其他條款無效，宏傑資訊免責條款仍保持完全效力。

本條款依中華民國（台灣）法律管轄。爭議由台北地方法院專屬管轄。英文版與中文版有差異時，以中文版為準。

我們保留隨時修改本條款的權利。任何條款無效不影響其餘條款效力。本條款構成您與本公司的完整協議。未經同意您不得轉讓本條款。

15.1 帳號刪除

請聯繫我們以要求刪除帳號及資料。某些資料可能因法律或業務原因在刪除後仍被保留。
